Terms of Service

1. Acceptance of Terms

By accessing or using Logic64 (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.

These Terms constitute a binding legal agreement between you and LOGIC64 LLC, a company registered in the United States. These Terms were last updated on May 3, 2026.

We may update these Terms at any time. For material changes, we will notify you by email at least 14 days before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Description of Service

Logic64 is an AI-powered workspace generator that helps developers plan, generate, and pull production-ready codebases through a structured, governance-first methodology. The Service includes:

  • A web dashboard at app.logic64.com for workspace creation and management.
  • A CLI tool for local project scaffolding and workspace pull.
  • An AI reasoning engine that interprets your intent and generates workspace artifacts.
  • Subscription-based access tiers: Hobby (free), Developer ($5/month), and Architect Pro ($20/month).

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We are not liable for any loss resulting from such changes.

3. Accounts & Registration

To use paid features, you must create an account via our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update it as necessary. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in abusive behavior.

You must be at least 16 years old to use the Service. By registering, you represent that you meet this requirement.

4. Acceptable Use

You agree not to use the Service to:

  • Generate code or content that violates applicable laws or third-party rights.
  • Attempt to reverse-engineer, decompile, or extract proprietary components of the platform.
  • Circumvent rate limits, abuse the AI engine, or exploit the platform in ways not intended.
  • Distribute, resell, or sublicense access to the Service without prior written consent.
  • Generate malware, exploit code, phishing materials, or other harmful artifacts.
  • Use automated scripts to bulk-generate workspaces beyond your plan's limits.

Logic64 uses a governance-first architecture specifically designed to constrain AI output to documented specifications. Attempting to bypass these constraints is a material violation of these Terms and may result in immediate account termination.

5. Intellectual Property

5.1 — Your Content

You retain all intellectual property rights to the workspaces, code, and artifacts generated through your use of the Service. Logic64 does not claim ownership over your output.

5.2 — Our Platform

All software, algorithms, designs, trademarks, and documentation constituting the Logic64 platform are the exclusive property of LOGIC64 LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business purposes in accordance with these Terms.

5.3 — Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by Logic64 without restriction and without compensation to you.

6. Payment & Billing

Paid plans are billed monthly in advance via Stripe. By providing payment information, you authorize Logic64 to charge the applicable subscription fee on a recurring basis until you cancel.

All prices are in USD and do not include taxes unless stated. You are responsible for any applicable taxes in your jurisdiction.

Refund and cancellation terms are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

7. AI Output Disclaimer

Logic64 uses AI models to generate workspace artifacts. While our governance-first architecture constrains outputs to documented specifications, AI-generated content may contain errors, incomplete implementations, or security vulnerabilities.

You are solely responsible for reviewing, testing, and validating all AI-generated code before deploying it to production. Logic64 is a tool to accelerate development, not a substitute for engineering judgment.

We make no warranties, express or implied, regarding the correctness, fitness for a particular purpose, or security of AI-generated output.

8. Limitation of Liability

To the maximum extent permitted by applicable law, LOGIC64 LLC and its officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Service.

Our total aggregate liability to you for any claim arising from or related to the Service shall not exceed the greater of (a) the total fees paid by you in the three months preceding the claim, or (b) $50 USD.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the extent permitted by law.

9. Termination

You may terminate your account at any time from your dashboard. Upon termination, your access to paid features will cease at the end of the current billing period.

We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or use the Service in a manner that causes harm to Logic64 or other users. We will make reasonable efforts to notify you.

Sections 5, 7, 8, and 10 survive termination of these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive the right to participate in any class action lawsuit or class-wide arbitration against Logic64.
